We are looking for a Manager with financial due diligence and project management experience to lead financial due diligence as well as provide buy and sell side advisory services. In addition, candidates will be expected to leverage technical and organizational skills to coordinate and manage full service Deloitte diligence teams, liaising and building relationships with financial advisors, investments banks, legal advisors, corporate lenders, investors and other stakeholders on an agreed scope of work. As our clients seek to grow their businesses, our M&A Transaction Services team provide expertise in performing due diligence on targets and assisting in its integration strategy.


As a member of our broader M&A Advisory team and our Transaction Services team within Financial Advisory, you will help strategic buyers and private equity firms as well as vendors by conducting financial due diligence and providing strategic advisory in the context of the transactions. Using your skills and leveraging our global network of experts, you will provide insight to companies in every industry, and in every situation. The result? As a Manager within our M&A Transaction Services group you will: 


  • Collaborate with a diverse team of talented financial and business advisors;
  • Cultivate relationships with clients and colleagues;
  • Become a relied upon member of a high-performing team of professionals;
  • Manage / work with due diligence team members across all Deloitte functions;
  • Quickly develop an understanding of the target business and its drivers;
  • Interpret and analyze information memoranda, business plans and publicly available information on the target business;
  • Review and analyze historical trading, quality of earnings, cash flow, working capital, net debt, capital expenditure, forecasts and underlying assumptions;
  • Develop solutions and recommendations on normalized EBITDA, deal price, working capital adjustments, earn-outs, acquisition synergies;
  • Review the appropriateness and adequacy of financing structure including review of agreements and consideration of limits, terms and covenants;
  • Develop recommendations and commentary on the technical aspects of sale and purchase agreements, leveraging due diligence findings and prior deal experience;
  • Evaluate potential synergies and post-merger integration considerations;

A qualified candidate will have the following:


  • A professional accounting designation (CA, CPA);
  • Minimum 5 years of relevant experience in audit, accounting, and transaction services, namely financial due diligence and/or with a clear grasp of the M&A lifecycle;
  • Ability to advise clients on M&A and good business acumen;
  • Strong report writing and project management skills;
  • Strong interpersonal skills and commitment to professional and client service excellence;
  • Ability to quickly develop an understanding of the target business, its industry and its key drivers;
  • Experienced with project problem diagnosis, solution development, client communications, facilitation of decision making, documentation, managing client expectations and team leadership;
  • Well versed in relevant methodologies and practices (valuation, M&A, financial modelling/analysis)
  • Ability to meet deadlines and produce high quality output with a high degree of project ownership;
  • Ability to present recommendations to technical and non-technical audiences
  • Ability to develop and present new ideas and conceptualize new approaches and solutions;
  • Ability to synthesize information and produce synopses/summaries;

  • Canadian travel required and occasional international travel. Candidates must be able to enter the USA on client work assignments.
