What will your typical day look like?
As the Senior Legal Counsel (Technology), Commercial you will serve as a subject matter expert for complex technology engagements providing business clients with advice on high value transactions. Responsibilities will include but are not limited to:
- Lead, structure, draft and negotiate complex-client transactions in a fast-paced corporate environment including master services agreements, statements of work, service level agreements, professional services agreements, master subscription agreements, SaaS agreements, license agreements, system implementation agreements, cyber security, cloud-based engagements, managed services agreements and requests for proposals.
- Provide advice on legal risks associated with transactions and offer creative solutions to mitigate risks.
- Negotiate and provide business clients with strategic and tactical advice.
- Lead and mentor other practitioners, including participating on strategic committees.
- Negotiate cross-border transactions with global partners.
- Work collaboratively with the business and corporate clients to deliver the highest quality of service.
- Build and maintain superior relationships with internal and external business partners.
- Contribute to departmental initiatives, including knowledge management and workflow improvement.
About the team
The Office of the General Counsel is a national, high performing team of legal professionals dedicated to providing expert legal advice to Deloitte Canada and its leadership. The OGC consists of approximately 40 members including lawyers, paralegals, law clerks and paraprofessionals. Recognized for innovation and its strategic approach, the department has received prestigious awards including the Canadian General Counsel of the Year, Chambers and Canadian Lawyer Magazine awards. At its core, the OGC fosters a culture of collaboration, a commitment to excellence, and a strong commercial focus. We value flexibility and offer a hybrid work environment, combining remote and in-office work in a state-of-the-art facility located in the heart of downtown Toronto.
Enough about us, let’s talk about you
You are someone who has/is:
- Undergraduate degree and Law degree.
- Active membership in good standing with the Law Society of Ontario or another Canadian Province.
- 10+ years of work experience as a corporate/commercial lawyer either at a law firm or as in-house counsel at a technology company.
- Significant hands-on experience in drafting and negotiating technology agreements, license agreements, master services agreements, managed services agreements, implementation agreements, transitional services agreements, non-disclosure and confidentiality agreements.
- Substantive expertise in technology law.
- Experience with IP, privacy and AI is an asset.
- Transactional experience within a broad range of sectors, including financial services, government/public sector, telecommunications, pharmaceuticals, and energy.
- Proven leader with a track record of coaching and developing others, providing direction and guidance and managing deal teams.
- Excellent communication skills with the ability to confidently, authentically and effectively engage with executives at all levels of the organization with an ability to influence outcomes. French language written and oral skills is an asset (Due to the nature of the role having interactions with National & Global clients, English is required for this position)
- Excellent analytical and problem-solving skills with experience resolving complex issues.
- Demonstrated consistent thought leadership and strategic thinking in sensitive and complex situations, understanding the bigger picture.
- Self-motivated with a desire to work both independently and in a collegial team environment.
- Demonstrated willingness to accept challenges and ability to work well under pressure in a fast-paced environment with competing client demands.
- Strong work ethic and the ability to handle a broad array of matters, with a proven commitment to quality and ability to build relationships with business clients and peers will be important to succeed.
- Experience working across borders and with clients from different geographies and cultures.
Total Rewards
The salary range for this position is $140,000 - $260,000, and individuals may be eligible to participate in our bonus program.
