What will your typical day look like?

The Assistant General Counsel, Supply Chain and Complex Commercial Contracts will be part of the Technology and Business Solutions Group of Deloitte Global Office of General Counsel. Led by the General Counsel, Deloitte Global OGC consists of approximately 50 people, including lawyers, contract managers, and legal assistants located in various US cities and abroad. Deloitte Global OGC has four main groups: (i) Technology and Business Solutions, (ii) Governance and Corporate Affairs, (iii) Disputes, Regulatory, and Employment, and (iv) Legal Operations.

 

This attorney will lead negotiation and delivery of Deloitte Global’s most complex, high-value commercial contracts with Deloitte’s critical supply chain vendors — with emphasis on technology, cloud/SaaS, software, outsourcing, managed services, licensing, and strategic relationships. This role provides subject-matter expertise, sets negotiation strategy that balances business enablement with risk mitigation, and leads a small team of attorneys who handle similar complex transactions. The Director partners closely with the Business and Procurement, Tax, Finance, Security/Privacy, and other Subject Matter Experts. 

 

Core Responsibilities

 

  • Lead, mentor, and develop a small team of attorneys responsible for negotiating complex commercial contracts; ensure high-quality legal advice, consistent approaches, and effective knowledge sharing across the team and member firms.
  • Own negotiation strategy and be the subject matter lead for the most complex vendor agreements, including specifically in the area of technology (cloud, SaaS, outsourcing, data licensing, software licensing, large system implementations, managed services, and related arrangements).
  • Serve as lead negotiator on high-risk or high-impact transactions; engage directly with external counterparty counsel, and senior counterparty executives.
  • Advise internal stakeholders (Deloitte executive leaders, service line leaders, procurement, finance, IT, security, and risk teams) on contracting approach, commercial structures, regulatory and compliance impacts, and optimal risk allocation.
  • Collaborate with the Business and Procurement, Tax, Finance, Security/Privacy, and other Subject Matter Experts to identify and remediate contractual and operational risks (including indemnities, liability caps, data protection, audit rights, and business continuity).
  • Lead up-front deal strategy sessions and negotiate commercial and legal terms aligned to Deloitte’s strategic objectives and risk appetite.
  • Drive continuous improvement by identifying recurring contracting issues, drafting negotiation guidance, and implementing tools, automations, or training for attorneys and business stakeholders.
  • Manage and document exceptions to standard terms; obtain necessary approvals and ensure rationale aligns with Deloitte governance.
  • Understand technology (including GenAI and Contract Lifecycle Management) and be able to use it to enhance legal productivity and effectiveness.
  • Drive continuous improvement in management of complex contracting processes, including by developing, maintaining, and driving adoption of global contracting templates, playbooks, and clause libraries tailored for complex/technology transactions to accelerate cycles and reduce legal/regulatory risk.
  • Represent OGC in cross-functional forums for large programs and global vendor relationships; coordinate with member-firm counsel as required.
  • Stay current on market practices, regulatory changes, and technology trends impacting contracting and risk. This role may require occasional travel to meet with business stakeholders, vendor counterparts, or member-firm legal teams.

Global General Counsel provides legal guidance and expertise to Deloitte Global, the broader Deloitte organization, and our business leaders. We advise on regulatory, claims, and corporate legal matters, as well as additional issues that may pose novel or unique situations.

Qualifications

Required 

 

  • JD from an accredited law school and admission to practice in at least one U.S. jurisdiction.
  • Minimum 15+ years of relevant legal experience negotiating complex commercial contracts, with significant experience in technology, cloud, SaaS, outsourcing, licensing and/or large professional services agreements.
  • Demonstrated experience leading or supervising attorneys or small legal teams.
  • Strong commercial acumen and proven track record achieving business goals while appropriately managing legal and commercial risk.
  • Deep understanding of risk allocation, indemnities, liability caps, warranties, data protection/privacy obligations, security, and regulatory/compliance issues affecting vendor relationships.
  • Excellent interpersonal, influencing, and stakeholder management skills; able to counsel senior leaders and drive cross-functional alignment.
  • Ability to work effectively in a fast-paced, global matrix environment 
  • Deep expertise in managing and serving as first chair on complex commercial contracting and vendor negotiations.

 

Preferred

 

  • Experience in creating or improving contracting playbooks, templates, clause libraries or automated contract tools is preferred.
  • Experience working with Contract Lifecyle Management technology
  • Demonstrated experience implementing new or improved tools and processes that improve negotiation processes, risk management, and efficiency.
  • Strong business partnering skills and ability to influence decisions across the organization, including senior business stakeholders.

Total Rewards


The salary range for this position is $140,000 - $260,000, and individuals may be eligible to participate in our bonus program.
