What will your typical day look like?

As a Director within Deloitte’s Deal Transformation & Post Merger Integration (DT&PMI) Human Resources Due Diligence (HRDD) practice, you will play a leadership role in advising private equity investors and corporate clients on the financial, operational and strategic implications of human capital matters across complex M&A transactions.
Combining strong commercial judgment, quantitative analytical capabilities and human capital expertise, you will lead financially focused due diligence engagements to identify and quantify material transaction risks, assess historical and prospective workforce costs, and uncover opportunities for EBITDA improvement and enterprise value creation.
Your work will span complex compensation and benefits arrangements, pensions and other employee liabilities, workforce cost structures, organizational effectiveness and carve-out considerations. You will translate these findings into actionable insights that inform transaction economics, deal structuring, negotiations and post-acquisition priorities.
Beyond leading engagements, you will serve as a trusted advisor to senior client stakeholders, collaborate with multidisciplinary deal teams, mentor and develop high-performing professionals, and contribute to the continued growth of the practice.

Responsibilities
•    Lead Transaction Due Diligence: Direct financially focused human capital due diligence engagements, identifying and quantifying material risks, liabilities, cost exposures and opportunities that could influence transaction value, deal terms and post-closing priorities.
•    Assess Financial and Commercial Deal Implications: Analyze historical and projected workforce costs, including compensation, benefits, pensions, executive arrangements and transaction-related obligations, to evaluate implications for normalized EBITDA, net debt, cash flow and transaction economics.
•    Drive Value Creation: Identify and assess opportunities for labor cost optimization, workforce productivity, organizational effectiveness, spans and layers improvements, and sustainable EBITDA enhancement.
•    Lead Workforce Analytics and Financial Modeling: Direct complex quantitative analyses using workforce, payroll and financial datasets, developing robust models and defensible financial estimates despite incomplete or imperfect information.
•    Advise on Carve-outs and Standalone Requirements: Assess standalone operating models, workforce structures, stranded costs, incremental costs, employee transition requirements and Transition Service Agreements (TSAs).
•    Deliver Executive-Level Insights: Synthesize complex technical findings into clear, commercially relevant recommendations for private equity investors, corporate executives, investment teams and other transaction stakeholders.
•    Collaborate Across Deal Disciplines: Work closely with Financial Due Diligence, M&A, tax, legal, operational and technology advisory teams to connect human capital findings to the broader transaction thesis and diligence conclusions.
•    Lead Client Engagements and Develop Talent: Independently manage complex engagements, facilitate discussions with senior management, oversee delivery quality, and mentor, coach and develop high-performing teams.
•    Contribute to Practice Growth: Develop trusted client relationships, support business development, identify cross-functional opportunities and help expand Deloitte’s human capital transaction advisory capabilities.

About the team

Our Human Resources Due Diligence practice is part of Deloitte’s Strategy, Risk & Transactions (SR&T) business, within the Deal Transformation & Post Merger Integration (DT&PMI) team.
We operate at the intersection of M&A, finance and human capital, helping private equity investors and corporate clients understand how workforce-related risks, liabilities, costs and opportunities influence deal value.
Our engagements combine transaction advisory, quantitative analysis and specialized human capital expertise, often in close collaboration with Financial Due Diligence and other M&A advisory teams.

  • Transaction Advisory and Commercial Acumen: Strong understanding of M&A transactions, investment considerations and financial drivers of deal value, with the ability to connect human capital findings to transaction economics and business decisions.
  • Quantitative and Financial Analytical Capabilities: Ability to interpret complex financial and workforce information, assess cost structures, build or review financial models, and evaluate implications for EBITDA, net debt, cash flow and enterprise value.
  • Human Capital Expertise: Strong knowledge of workforce costs, compensation, employee benefits, pensions, executive arrangements, organizational structures or other material human capital considerations. Depth in one or more specialized areas and an ability to evaluate broader implications are valued.
  • Critical Thinking and Problem Solving: Exceptional analytical judgment, intellectual curiosity and ability to structure ambiguous problems, challenge assumptions, and derive evidence-based conclusions from incomplete information.
  • Strategic and Value Creation Orientation: Ability to identify opportunities for organizational effectiveness, operating cost improvement and sustainable value creation, translating findings into actionable recommendations.
  • Executive Communication: Strong written and verbal communication skills, with the ability to distill complex financial and technical matters into concise, persuasive insights for senior executives, private equity investors and deal stakeholders.
  • Technical Proficiency: Advanced Excel modeling and PowerPoint skills. Experience with large datasets, payroll or workforce information, or tools such as Power BI, Tableau or SQL is an asset.
  • Leadership and Talent Development: Ability to lead complex engagements and multidisciplinary teams, mentor professionals, provide constructive feedback, and foster a high-performing team environment.
  • Client Management: Ability to build trusted relationships with senior clients, manage multiple priorities and deliver high-quality work under demanding transaction timelines.
  • Commercial and Growth Mindset: Ability to identify client needs, contribute to business development and help grow a specialized advisory practice. 

Minimum Experience 
•    Typically 10+ years of progressive experience in transaction advisory, M&A consulting, human capital advisory, actuarial or rewards consulting, restructuring, operational improvement, or related financial and strategic advisory disciplines, including significant leadership responsibilities.
•    Experience evaluating complex business issues through quantitative and financial analysis, translating findings into strategic recommendations and measurable commercial outcomes.
•    Meaningful exposure to M&A transactions, financial due diligence, carve-outs, integrations, business transformation or value creation initiatives. Experience leading human capital due diligence engagements is a strong asset.
•    Understanding of workforce-related financial and operational considerations, supported by experience in compensation, benefits, pensions, workforce analytics, organizational effectiveness or labor cost optimization.
•    Proven success leading multidisciplinary engagements, advising senior stakeholders, mentoring professionals and building trusted client relationships.
•    Bachelor’s degree in finance, accounting, economics, mathematics, actuarial science, statistics, business, engineering or a related quantitative or analytical discipline.
•    CFA, CPA, CBV or actuarial designations (e.g., ASA, ACIA, FSA, FCIA), or equivalent qualifications, are assets.

Total Rewards


The salary range for this position is $157,000 - $293,000, and individuals may be eligible to participate in our bonus program.
